Assessment Strategy
Threshold: D- to D+ (40-49%): No major omissions or inaccuracies in the deployment of information/skills. Some grasp of theoretical/conceptual/practical elements. Integration of theory/practice/information present intermittently in pursuit of the assessed work's objectives.
Good: Lower 2nd Class: C- to C+ (50-59%): Much of the relevant information and skills mostly accurately deployed. Adequate grasp of theoretical/conceptual/practical elements. Fair integration of theory/practice/information in the pursuit of the assessed work's objectives. Some evidence of the use of creative and reflective skills.

Learning Outcomes
- Appraise the legal rules governing a company's external relationships and dealings with third parties as ways to increase efficiency of performance, protect the interests of stakeholders, and avoid legal disputes.
- Critically analyse the concept of corporate personality and potential criminal liability in relation to partnerships, limited liability partnerships, and registered companies and analyse the ways in which these concepts can be applied to avoid undesirable consequences in matters of law.
- Differentiate the essential rules related to partnerships, limited liability partnerships, and registered companies as different legal context.
- Explain the statutory rules for raising and maintaining a company's share capital within the legal framework surrounding the company.
- Identify the key issues in the internal structure, management, and control of a company, including legal restrictions and requirements for the board of directors and their impact on company's performance.
- Recognise the issues related to corporate takeovers and mergers, including the necessary procedures to enhance the confidence of and fairness to investors, maximise the value of company, enhance it competitive position, and comply with legal and ethical standards.

Description
The faculty will assign a specific topic for the group essay, which will account for 30% of the total marks. In addition, individual contributions to the essay will be evaluated and will be allocated 10% of the total marks. The evaluation criteria for both the group essay and presentation will be clearly defined in the evaluation rubrics, and ensuring that all students are assessed fairly and objectively based on the same standards. The essay word limit is 4,000 words and the presentation is 20 minutes. Group size maximum is 4 students.
